Acceptance of Terms

These Terms of Service ("Terms") govern your use of the website infinion.pro and the accounting services provided by infinion GmbH, a German limited liability company registered under number HRB534918 ("infinion", "we", "us", or "our").

By accessing our website, engaging our services, or entering into a service agreement with infinion, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our website or services.

These Terms constitute a legally binding agreement between you and infinion. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on our website.

Service Description

infinion provides professional accounting services including but not limited to:

  • Bookkeeping and financial record maintenance
  • Tax preparation and planning services
  • Financial analysis and reporting
  • Regulatory compliance management
  • Business advisory and consulting services
  • Payroll processing and administration

Specific services will be detailed in individual service agreements or engagement letters. All services are provided in accordance with German accounting standards and applicable regulations.

Client Obligations

As a client of infinion, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Maintain proper documentation and records as required by German law
  • Pay all fees and charges in accordance with agreed terms
  • Notify infinion promptly of any material changes affecting your business
  • Comply with all applicable laws and regulations
  • Cooperate with infinion's reasonable requests for information and documentation
  • Review and approve all submissions made on your behalf to regulatory authorities

Failure to meet these obligations may affect our ability to provide services and may result in additional charges or termination of the service agreement.

Professional Standards

infinion operates in accordance with German professional accounting standards and maintains professional indemnity insurance. Our services are subject to the following professional obligations:

  • Compliance with German accounting principles (HGB) and relevant standards
  • Adherence to professional codes of conduct and ethics
  • Maintenance of professional competence through continuing education
  • Confidentiality of client information and business affairs
  • Independence and objectivity in professional judgements

Fees and Payment

Service fees will be specified in individual engagement letters or service agreements. General payment terms include:

  • Fees are typically based on time spent, complexity of work, or fixed monthly arrangements
  • Invoices are payable within 30 days of the invoice date unless otherwise agreed
  • Late payment charges may apply to overdue amounts
  • We reserve the right to suspend services for non-payment
  • All fees are exclusive of VAT where applicable

Additional charges may apply for services outside the agreed scope or for urgent work requiring expedited delivery.

Intellectual Property

All intellectual property rights in materials created by infinion in the course of providing services, including methodologies, templates, and proprietary systems, remain the property of infinion. This includes:

  • Accounting methodologies and procedures
  • Software systems and proprietary tools
  • Report formats and templates
  • Training materials and documentation
  • Website content and design elements

Clients retain ownership of their underlying business data and information provided to infinion. We grant clients a non-exclusive licence to use reports and deliverables created specifically for their business purposes.

You may not reproduce, distribute, or create derivative works from our intellectual property without written permission from infinion.

Confidentiality

infinion maintains strict confidentiality regarding all client information and business affairs. We will not disclose confidential information except:

  • As required by German law or regulatory authorities
  • With your explicit written consent
  • To professional advisers bound by similar confidentiality obligations
  • As necessary to defend our legal rights

This confidentiality obligation continues indefinitely, even after termination of our service relationship.

Limitation of Liability

While infinion strives to provide accurate and reliable services, our liability is limited as follows:

  • Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim
  • We are not liable for indirect, consequential, or punitive damages
  • We are not liable for losses arising from client's failure to provide accurate information
  • Claims must be brought within two years of the date the claim arose
  • Our liability is subject to the terms of our professional indemnity insurance

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under German law

Indemnification

You agree to indemnify and hold harmless infinion from any claims, damages, or expenses arising from:

  • Your breach of these Terms or any service agreement
  • Inaccurate or incomplete information provided by you
  • Your failure to comply with applicable laws and regulations
  • Any third-party claims related to your business operations

Data Protection

infinion processes personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) and German Federal Data Protection Act.

Governing Law

These Terms are governed by and construed in accordance with German law. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Frankfurt am Main, Germany.

If you are a consumer, you may also bring proceedings in the courts of your habitual residence, and nothing in these Terms affects your statutory rights as a consumer.

We encourage resolution of disputes through direct negotiation. If necessary, we are willing to participate in mediation or arbitration proceedings in accordance with German commercial arbitration rules.

Termination

Either party may terminate our service relationship with appropriate notice as specified in the relevant service agreement. Termination rights include:

  • Termination for convenience with 30 days' written notice
  • Immediate termination for material breach of contract
  • Termination for non-payment of fees
  • Termination for insolvency or bankruptcy

Upon termination:

  • All outstanding fees become immediately payable
  • We will return client documents and records
  • Confidentiality obligations continue indefinitely
  • We may retain copies of documents for regulatory compliance

Force Majeure

infinion shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, pandemics, or public health emergencies
  • Government actions, laws, or regulations
  • Labour disputes or strikes
  • Technology failures or cyber attacks
  • War, terrorism, or civil unrest

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the intended purpose.

Entire Agreement

These Terms, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between you and infinion regarding the use of our website and services. These Terms supersede all prior agreements and understandings.

No modification of these Terms shall be effective unless in writing and signed by authorised representatives of both parties.
